If your an Internet user, then you probably have heard or are familiar with P2P (peer-to-peer) file-sharing programs. P2P programs have been out since the early '90s when the Internet was created. The RIAA Chairman Cary Sherman says that they lose revenue when computer users download copyrighted music files for free. But is it really true? Studies & statistics have shown that other factors are really to blame. These factors include the high standards of living, depreciation of the US dollar, & the War on Terror. P2P file-sharing programs are like "samplers" or "appetizers" for music listeners who are seeking good quality music. What's the whole point in buying a song you're not sure your going to like when the entire album sucks? Studies of shown that P2P actual boomed the revenue of record sales because there are just as many P2P downloaders as there are legal downloaders. So what's the point of having this law when over 5 billion users world-wide are going break it? FYI: I'm mainly talking about P2P programs you download for free. But I can also be talking about P2P programs user have to pay for, depending on your perspective.

Ok, Question #2 in my series. Are these characteristics of puppy mills? Yes, No or Maybe: a. Breed multiple breeds of dogs? b. Breed mixes and/or designer dogs? c. Have contracts? d. Vet the dogs themselves? e. Take their dogs back (at any time) and their dogs do not end up in shelters: f. Breed their dogs more than once per year? g. Can be spotlessly clean? h. The people running the place live off the proceeds of their animal sales: g. Do not show, finish or compete with any of their dogs? h. Perform the standard genetic testing for the breed in question? i. Have a very good health guarantee (will take back the dog if it's sick - seriously ill or otherwise)? j. Sell their dogs in stores/flea markets/via the internet or another 3rd party? Please feel free to elaborate on any of these. If there is something else a puppy mill does OR does NOT do, I'd like to know. I'd like very much to see if we have a general consensus. Amendment for b. If someone breeds more than 2 breeds.... I got this computer for free at a garage sale. lol and well its an HP. dont know what year. but it has windows 98..heh..the very next day i got internet on it (was intended for laptop) anyways whoa..thecomputer works! and has lots of stuff on it... ALOT of programs. i dont need 75% of the junk but when i look under control center to add/remove programs..most are not listed. where can i cind their uninstall. im friad of wipeing it clean and not being able to fix the internet myself. is there asite that list what programs that come standard with a computer? or what can i do.

I have recently been contracted to become a marketing arm for an unsecured debt elimination program that is not only legal and ethical but the system has been upheld by the Alabama Supreme Court. It?s very simple to do if you know how and my contractor is not divulging any of his proprietary secrets. My plan is to sell a membership to one person in every city in the US for their use as an exclusive territory. They will advertise locally at their own expense, or advertise on the many free ad sites on the Internet. The leads will call them, they will discuss the program, collect their paperwork and fees and FedEx the package to me. Once everything is in place we pay them a 25% commission ($625-$1250 per sale) until they do $250,000 in Revenue. Then they?ll increase to 30% ($875-$1500 per sale). Basically they do the legwork, we do the grunt work and they make an outstanding commission. So if they made 1 sale per week they would make over $32K per year, but if they make 3 sales a week, they?re now into a 6 figure income. Membership fees are nominal, but they are population based. The cost for the membership will be $500 per 1M people according to the latest census. They can buy more than 1 territory. We will not advertise for customers or compete with them in their territories. Even though we are building a network of direct sales professionals this is NOT Network Marketing. This is NOT MLM in any way, shape or form and our system is only available in the USA. There are basically 300 cities in the US that I want to sell a membership in. My question to the group is this; most of the online sources such as Craigslist, Backpage or Kijiji will only allow you to advertise for free in one city. Without actually taking out an expensive ad in 300 local newspapers around the country, what would be the fastest, easiest and least expensive way to get the word out to as many people as possible who may want to take advantage of this opportunity? I have a website ready to go up, but I?m having a problem figuring out how to set up and acquire the squeeze page information into a database. I?ve talked with InfusionSoft about their CRM software, but it?s over $7k to start up, and $400 a month. That?s expensive for a start-up. Not to mention it kills my entire marketing budget. I am sure I won't solve this here, but I would like to have some leads to get myself organized. I do want to solve this and just want to be a regular citizen with the tax up to date. I will mention the same as another member did: "I KNOW I'M SUPPOSED TO FILE EVEN THOUGH I DON'T OWE, BUT I'VE ALREADY ADMITTED THAT I HAVEN'T SO WE DON'T NEED TO ADDRESS THAT ISSUE. THANK YOU FOR FOCUSING ON THE QUESTION I'M ASKING RATHER THAN TELLING ME SOMETHING I CAN NO LONGER DO ANYTHING ABOUT." It is somewhat complex: 1- I have not filed tax since 1999, although I estimated (at the time) and saved what I thought would be the tax. 2- 1999 to 2001 I started to play "entrepreneur" as everyone was doing when the Internet came about, selling junk on the Internet privately. money was exchanged back and forth without any actual control The IRS sent me a letter to pay taxes not filed for a student loan that I cashed(2001). The total still is unpaid. I am guessing this is because the bank reported to the IRS, yet only the loan was mentioned. 3- I had a job that issued me a W2 form 1999-2001 "self employed" , in 2000 I started paying free lancers to do the work I did, I wanted to keep the job in case the business did not do well, however these free lancers were not regular workers, I never issued any I-90 or anything that would help me to track any of these payments, except the employer being my witness I have only dates amount and first name of the freelancers, no other proof. Unlikely I can track down must of these people All payments were cash. The only ones I was able to track down were unwilling to provide personal information for I-90, yet they only make up 20% of the total. Is this case lost? Do I have to pay tax on what I kept? 4- Mid 2001 I incorporated had a tax payer ID issued by the IRS, that's where the major mass began. I mixed personal banking account, personal phone line and credit card to pay suppliers with business. Although I was able to separate accurately all the personal expenses and even the % that was business versus personal. I am not sure how to separate the business. Since I incorporate the business mid 2001 and I was already playing business man since 1999...I am unsure how to go about it. Do I have to separate them? But I have invested money on equipment prior and after incorporation to be used for business purpose, same for goods bought for sale. 5- From 2000-2001 I had an ex girlfriend taking care of all the paper for me. She was being paid to enter itemize every single item. In the end she took the money but did not do the job, actually the opposite, she only mixed up all the papers (receipt, bank statements etc) into a huge mess stuck in boxes, which took me one month to put in order again. It is not clear if the company made any profit or not, unlikely it did 6- Late 2003 early 2004 a live in girlfriend, took over the function of organizing all the papers, things were going really well, all papers had been organized, everything was being entered to a spreadsheet in the minimum details, till I found out that instead paying the bills she was pocketing the money, overnight she took her things and all the computer files, so months of work went back to the "starting line" again. Without the money to pay the bills the business could not survive, I still tried to save it by taking money from credit cards to cover holes, but eventually I ran out of Credit cards. After all these I could never put myself together again, I started drinking which I had never done, stopped paying all the bills, my credit rating was excellent went below miserable. I did not make any significant money from 2004 - 2007, if I did make any it was cash and way to low, I borrowed money from friends and family which eventually I will have to pay. -----State tax was collected for some of the sales, yet without the information that was stored in the Hard drive of the computer that was stolen by my ex I am unable to have accurate information. Not all sales were taxed as the majority was sent to out of the state. It is useless to ty to track her down as she moved to another country and has been bouncing from country to country, and I know this information was purposely destroyed. I was living in a room and board such a situation, I did not have to pay for living expenses. 7- Is borrowed money considered a taxable income? 8- My mother helped me from 2004-2007, although I am a full grown adult and I was not living with here, am I able to claim I was a dependent during these years? although she did not file me as a dependent. I did make less than $3k a year. This tax mess was never cleared, but this year I took care of the depression and stopped hiding behind alcohol. I am here to face the cosnequences. I am working on the paper work, yet I am not sure how to address these problems. 9 - I know I will need a CPA to straight this out and I am planning to do it. Any CPA out there can guesstimate what this would cost? I will borrow this money to pay an expert. 10- Let's presume that the IRS and the State will negotiate any amount I may have to pay, also the fact I am not employed at the moment, how likely is it that the amount can be negotiated to a realistic value that I can pay? Vinyl records are making a huge comeback. Take a look around the internet for articles on the subject. The trend is that companies are starting to sell the LP with free MP3s of the songs. The LP is for home use, and the cheaper quality MP3 is for burning onto CD or for your Ipod. This is the wave of the future. Its a win-win situation. The consumer gets excellent better-than-cd audio quality, nice artwork on the LP, plus the MP3 version...the record company gets to actually sell the music rather than to have one person buy the cd and rip it to 10 of his friends. The sales pitch is that LPs sound alot better. So, if you can get the MP3 version of the LP, thats ok. You're still not getting the best sound possible. This is the only way the record industry will survive. Records are now getting pressed on superior 180g and 200g virgin vinyl. The sound is outstanding! I won a few and have actually done side by side comparisons with CD's. Trust me, there is no contest! LPs rule! Before I get another smart-ass response. Yes there is a question. Read the title!! Do you all think vinyl is back?

I just started and have not been in car sales in 10 years and I was just taking up space then. I have been in Real Estate and the Mortgage business since 2002. This internet deal seems like a gold mind. To me it's FREE HOT LEADS AVERAGE 4 PER DAY and you pretty much give every car away. Invoice plus a few hundred bucks ON THE INTERNET. I mean the economy sucks and people are bying Nissans like crazy. Mostly people are changing cars for better fuel economy. You for the most part make your money on volume (Units sold). I actually feel like I'm providing a honest service. Hours suck! O well, ya can't have it all.

I bought Norton 360 last year and am happy with it. The subscription is about to run out and I have the option to renew from Symantec for $60 or to Premier version for $80. I have also accepted an upgrade to version 2 for free from Norton. In the past, with Norton Internet Security 200X and other products, I have not renewed, but simply bought the latest year's version - usually at a sales price that is much cheaper than the renewal fee, and the new product includes another year's subcription. So it seems a cheaper way to renew. This week I see that I can buy Norton 360 at a local electronics store for $30. I would guess I can buy this and effectively get a subscription renewal on the cheaps. Can anyone confirm whether this works with Norton 360? Has anyone actually done it? Does it require an un-install of the old product and an install of the new one (with new activation key, etc.)? OK folks, I appreciate all the alternatives, but can someone answer the question about the mechanics of buying a new 360 to extend the subscription?

I signed up for the Yahoo at&t high speed internet. i was told on the phone when ordering that the installation would be free. Now i have a 200 dollar installation charge on my bill. I was told that the modem and needed material would be mailed to me through ups/FedEx within about a week, When i ordered through the phone, i even order it to be shipped within 1-2 days. So as long as they have a recorded conversation with the sale representative, you'll be able to hear that i wanted it to be mailed out pronto. But we waited and a at&t service man came and set up the internet for us. i never ordered internet before so i thought that was a part of the *free* installation. What should i do to get this fee waived??? i spoke to a representative and they told me i have to pay it because i had someone come out to our house for installing the modem. i asked to speak to a manager, but they were too held up on calls, they said they will call me back within 48 hours.i feel so ripped off help!

Although downloading free music is great, I miss the excitment of buying it. It's not exciting to buy a cd when you can download it. Record companies have been losing sales to free internet downloads. I have a solution for this. Record companies should release their product on vinyl only! That way, if people want to copy the album, they will have to go through the tedious process of digitizing it. Even if they do copy it, the finished product won't sound as good as the vinyl. This will force people to buy the LP. CDs are too easy to copy and they don't sound as good as vinyl. MP3s sound even worse! I have been buying music on vinyl recently. It is great to hold the album and look at all the great artwork on it. It makes me appreciate the artists work more. I have made side by side comparisons on the sound of CDs and LPs. There is no comparison! LPs sound alot better. Trust me! If you havent experienced it, go out and buy a turntable and a few records. You won't belive your ears! Amen!

sit next to a guy (I'll call him George) in class that I've started to get to know. We're both high schoolers in community college, and we have a few other things in common. He commented last week that he couldn't afford the book for the class, and neither could I. However I asked the teacher if I could get the last edition of the book, instead of the one for sale in the bookstore, because I could find the older edition much cheaper on the internet. He said okay, and I found out while shopping on amazon that I could get a few used copy of the book for a $1.50. So I bought one for myself and one for George. Then I go to class on monday, and george has a brand new book. I asked him "I thought you couldn't afford the book!" He told me he couldn't. Then I said "Well I wish you would have waited a little bit longer- I ordered a used one online and kinda got a two for one deal. I was gonna give you one." Then he smiled and mumbled, "well maybe I could take this one back..." So at the end 10 minutes ago - 3 days left to answer. Additional Details 5 minutes ago of class I asked him, "so when the book comes you want it?" "maybe" "maybe- is that a yes or no?" "I guess I'll just keep this one." WHAT?! SOMEONE OFFERS YOU A FREE BOOK AND YOU HAVE THE OPPORTUNITY TO SAVE $85 AND YOU TURN THEM DOWN!? THAT'S CRAZY! Yesterday he sat there and we shared his brand-new book ('cuz mine didn't come in the mail until yesterday after class) and everything seemed fine. But today, I went to class, and sat down in my usual seat, and george saunters in a couple minutes later, walks over to the seat next to me where he usually sits, sets him backpack down, sits down for like five seconds, then picks his backpack back up and walks to a seat in the back of the room next to some girl. WHAT'S WITH THAT? WHAT DID I DO TO MAKE HIM MAD? All I tried to do was be nice, and buy him a book the way I wish someone would have done for me. That's it. I wasn't rude to him or anything. WHAT'S WITH THAT?! oh, no, what I put in capitals is what I thought- I never said that to him. Only what's im quotation marks is what was spoken. I never called him crazy.

Im 14 and went into a local pharmacy to buy some condoms but the woman behind the counter insisted I had to be 16... My argument was , that buy denying me the sale she was promoting unsafe sex but still no sale.. i found this on the internet which proves i was in the right : Condoms are free from your local youth or family planning clinic and some doctors. Or you can buy them at a local chemist, shop, supermarket, petrol station or vending machine even if you are under 16. Is there anything I can do to get her to sell me them ?

I've seen a firecard for sale for £35 at a local market. It is supposedly able to accommodate 40-50 DS games (downloadable for free from the internet) and it is just inserted into the games slot of the DS. Has anyone else heard about this? Is it legal? Since I was very young I never had a lot of friends. I was bullied since I was very little and people had fun humiliating me because I never reacted. My step-father (mother's husband) had mental problems and would beat me up for no reason whenever he forgot to take his medications (which happened several times a year). I always felt rejected everywhere and I think I partially hate my step father. I won't go into deep details but I really feel I did NOT deserve many things he did to me (he told me he was sorry and felt bad about it, that it was not his fault, etc... but I can't keep myself from being completely angry whenever I think about him). I always had an addictive personality. From the moment I got my very first video games (on the Sega Genesis in 1997), I got hooked to things behind a screen. I often spent days playing it and when I got access to the internet a few years ago, I spent hours playing flash games. Afterwards, I got addicted to a role playing card game (Magic the Gathering) and I played it nearly every days for about 3 years. This was not as bad since it gave me some social interactions as well as real life friends but I stopped playing when the local card shop clossed. Afterwards, I got addicted to various online games (mostly role playing games). In 10th grade, I bought the game known as World of Warcraft. I played that game a ridiculous amount of hours. I would usually play from 2.30pm (when I got back from school) until 10.30pm (my parents asked me to close my computer at 10.30 during school days). Once my parents were asleep, I would usually try to play a few extra hours. During week ends, I played until I was completely exhausted (that was usually after 20-30 consecutive hours of gaming, I would then sleep 4-5 hours and play until exhaustion once again). During holidays, I could easily play that game up to 140 hours a week and I often played up to 90+ hours on school weeks. Again, I won't go into details but the game had a very competitive system that rewarded the players that played the most and I wanted to be one of them in order to get those rewards (high quality in-game items). Long story short; I got my account hacked, I bought the game once again, I played even more, I got my 2nd account hacked, I played strangers' accounts for free (I have no idea why I was doing this. Since the accounts were not mine I would not keep any of the rewards I managed to get during the time I played) and then quit the game. I then got addicted to various online forums and I spent most of my 11th grade reading these forums and posting on them for about 8h a day. By the way, I didn't listed all the addictions I failed for, these are the ones I can clearly remember but there were many more (most of them were related to computers). After finishing my 11th grade, I moved with my real father out of Canada. I am currently doing my 12th grade in an American high school. My new addiction is now Facebook games and random nerds forums. I have 6 Facebook accounts and I usually spend over 6h a day playing role playing games on all my accounts in order to create in-game money (with no real-life value) and I send the money to my main account. I also use my additional accounts to level up my main character (the more you play, the more levels your character gets; if you have 6 accounts you can level up 6x faster). There is also a Facebook application called "Friends for Sale" where you can "buy" other people using an online currency and other people can see who you bought. I also use my 6 accounts in order to create more online currency in that game and then I buy expensive people. During the other hours, I usually go on forums such as www.4chan.org (mostly made up of nerds like me) and discuss about funny things with anonymous people. I recently got a conditional offer of admission from the College I wish to attend. This College have been my goal for a couple of months and I was extremely happy to receive a conditional offer from them. My results are way under what their typical students usually achieve but I had an interview there and I think they liked me. In order to get in, I need to get a really high grade (5) on a Calculus AP exam and a high grade (4) on a European History exam. Both my math and my history teacher told me I will have to work very hard in order to achieve that goal. I know I can get this result but it is very hard for me to study or do homeworks for more than 15 consecutive minutes and I constantly feel the need to go on the internet. When I am at school, I always think about how long I have to wait until I can get on the internet. I feel bad whenever I am away from a computer with the internet and this is completely ruining my life. my dad bought a wireless router from a garage sale last summer, and i happen to find it lying around. since i've been wanting a wire free internet around the house, i hooked it up to my computer and everything just seemed to work fine. but it all worked too fine actually. i didn't set up anything on the computer, i didn't install any disc softwares, and i didn't even get to put a password for this wireless internet. my computer recognized it and all my other electronics recognized it too. but you know what i mean when i say "it all seems to work too fine."....... it was just an annoying conscience i thought up of and was just really woundering wether i should continue this wireless heaven. am i doing something illegal? can i get caught doing this? its starting to annoy..... thanx 4 the replies.

The moves show that retailers' strategy during this final weekend before Christmas -- when about 10% of holiday sales are expected to take place -- has become increasingly reliant on the same promotions and marathon hours once unique to the "Black Friday" weekend following Thanksgiving. But the discounts also reveal the pinch stores are in this year as the credit crunch, rising gas prices and winter storms have taken a toll on companies dependent on end-of-year sales. The tough economy has left aisles more empty this year. Total foot traffic at U.S. retail outlets took an 8.9% dive during the second full week of December, compared with the same period last year, according to an estimate from ShopperTrak RCT Corp., which bases its numbers on a formula that involves an electronic count of shoppers in malls and other retail outlets nationwide. A bright spot, however, has been online, where aggressive discounting and cut-rate deals on fast shipping have contributed to a surge in spending. From Nov. 1 to Dec. 16, online shoppers spent $23.5 billion, 19% higher than the corresponding days last year, according to comScore Inc., a Reston, Va., market research firm that tracks Web spending and traffic. Videogames, consoles and accessories are the fastest-growing category, more than doubling from the comparable period last year. Furniture, appliances and equipment ranks second, up 63%, while event tickets and consumer electronics are up 29% and 24%, respectively. Now, a final push is on, both online and in stores. Web retailers continued to hunt for business by cutting shipping charges to seal deals before the pre-Christmas shipping window closes. Shoebuy.com, a Boston-based unit of IAC/InterActive Corp. offered free express shipping until today. Online handbag merchant eBags upgraded purchases made by Wednesday from standard shipping to two-day air-shipping through UPS for no extra cost. Brick-and-mortar stores, meanwhile, retooled their hours for the weekend, hoping to spark their own shopping flurry. J.C. Penney Co. stores are staying open until midnight tonight and Saturday. Select Macy's Inc. stores on the East Coast will stay open nonstop throughout the weekend -- 107 hours straight for one branch in Queens. And New York-based FAO Schwarz made discounts of 25% to 50% on certain toys. Ed Schmults, the chief executive officer at FAO Schwarz, said that while foot traffic was up, business had not been as booming throughout the season as he hoped. For her three nephews, ages 12, 8 and 7, she plans to buy remote-controlled cars, which Wal-Mart Stores Inc. initially priced at $59 and has since dropped to $49. "I am going to swing by this weekend and see if they are going to take it down one more time," says Ms. Smith, who was shopping for a co-worker's present at her local Wal-Mart midweek. Home-furnishings retailers, fighting the weak housing market, are being particularly aggressive with their promotions this year. Inc. and Home Depot Inc. are destined to be hardest hit, says AlixPartners' Mr. Crawford. "Consumers are absolutely showing us that they will be delaying discretionary purchases" like gear to remodel a kitchen, he said. A boom-bust pattern is typical after Thanksgiving's Black Friday discounts, which encourages a flurry of purchases early but leads to a tapering off in early December, killing shopping momentum. Hey, everyone. I've been doing some research into doing some online sales of my jewelry, collectibles, gently used designer children's clothes, and vintage adult clothing. I own a small business and we are about to publish our website to get internet sales in addition to our store. What would the best company be to use for shipping our products? The packages won't be very heavy; also I am wondering if UPS or FedEx or a similar place offers any sort of free shipping supplies?? I know the USPS offers free priority mail boxes but given that the cheapest they ship for is $4.60, I'd like to have a cheaper option for our customers. Any suggestions?? I tried looking at the Fedex website but couldn't find any info besides calculating shipping for a specific package. Please help!! My books are sci-fi, mystery, adventure and ghost stories. I advertise on free ads and google book partner and any place I can get an add cheap or free. I get lots of hits but no sales and the material can be downloaded or bought in print the downloads sell for $1.88 to $4.38 so should be cheap enough for anyone to buy but sales are very slow. Would appreciate any advice on how to stimulate interest or increase sales which are in the toilet right now.

3 months back I have opened an store exclusively dealing in notebooks and desktop pc's. For 2 months I have got wonderful response but from the past 1 month sales is not picking up. I have used marketing strategies like posting advertisement in local magazines, newspapers and posting classifieds on internet. Same thing I am using now a days but there is sharp fall in responses.Our pices are normal and even we are giving extended warranties (Onsite) on every porduct along with free shipping. If you search through the internet for Internet Marketing, there are so many of them and each telling you how good their training is or how they manage to generate a lot of traffic and conversion to your product you want to sell. It seems like they copy each other and they trying to upsell their own products. Some even holding big Internet events to generate even more sales to their product or websites. 1) Is internet marketing so easy to make money or just plain over-hyped? 2) Some of of the internet guru charge you more than 5 figures for mentoring system. USE OF INFORMATION; PRIVACY POLICY. 10.1 Use of Information. By entering into this Agreement, Licensee agrees that Licensor may collect and retain information about Licensee, including Licensee?s name and email address. Licensor may employ other companies and individuals to perform these functions on its behalf. Examples may include fulfilling orders, delivering packages, sending postal mail and e-mail, removing repetitive information from customer lists, analyzing data, providing marketing assistance and processing credit card payments. These third parties may be given access to personal information needed to perform their functions, but may not use it for other purposes. In addition, Licensor will collect and use anonymous information relating to your use of the Licensed Software application for statistical and related purposes. Licensor may disclose the information to third parties for these purposes but will not use or disclose information about your use of the Licensed Software for any other purpose (unless required to do so by law). Licensor may keep track of your Internet history in order to customize the advertisements provided to you as part of the Licensed Software. 10.2 Privacy Policy. Without limiting the generality of Section 10.1, by installing the Licensed Software, you grant permission for Licensor to collect and use certain information. You acknowledge that you have reviewed the applicable Licensor Privacy Policy, which describes Licensor?s general practices with respect to the collection, use and disclosure of information in connection with your Use of the Licensed Software, which is incorporated herein by reference. Licensor reserves the right to change the provisions of its Privacy Policy from time to time. Your Use of the Licensed Software following the posting of such changes to Licensor?s Privacy Policy will constitute your acceptance of any such changes. Licensor does not make any and hereby disclaims to the maximum extent allowed by law any and all covenants, representations and warranties with respect to its compliance with the statements of intent contained in Licensor's privacy policy. 11. COMPATIBILITY. Licensor does not warrant that the Licensed Software will be compatible with your hardware or other software installed on your computer system. Compatibility issues may cause your computer's performance to suffer. In the event that the Licensed Software is not compatible with your hardware or other software installed on your computer system, the Licensed Software can be uninstalled as provided in Section 7, above. Like all software, the Licensed Software utilizes some of your computer's resources to run, including system memory and Internet connection. Use of the Licensed Software on a computer with inadequate system resources will cause such computer's performance to suffer. 12. USER REPRESENTATIONS AND WARRANTIES. You acknowledge, represent and warrant that: (a) you own the computer on which you are installing the Licensed Software, or have the authority to install the Licensed Software on such computer; (b) your installation and/or Use of the Licensed Software will not violate any local, state or federal laws that apply to you, or the Use or installation of the Licensed Software; (c) Licensor is not causing the Licensed Software to be installed on your computer, but has provided the Licensed Software to you, which you are installing of your own volition; and (d) you have read and fully understand the terms of this Agreement. 13. EXPORT. You agree that the Licensed Software may not be acquired, shipped, transported, exported, or re-exported (A) into (or to a national or resident of) any U.S. embargoed country or (B) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce's Table of Denial Orders. By using the Licensed Software, you represent and warrant that you are not located in, under control of, or a national or resident of any such country or on any such list. 14. MISCELLANEOUS. 14.1 Entire Agreement. This Agreement and any Third Party Software Agreement set forth the entire understanding of the parties with respect to the subject matter hereof. There are no representations, warranties, agreements, arrangements or understandings, oral or written, between the parties relating to this Agreement which are not fully expressed in this Agreement. No waiver, amendment or modification of any of the terms of this Agreement shall be effective unless in writing and signed by the party affected by the waiver, amendment or modification; provided, however, that that Licensor may unilaterally amend or modify this Agreement or a company that owns or controls Third Party Software may modify their Third Party Software Agreement at any time and you shall have notice of these changes by reference to the Version number of this document and the effective date for such version (or the Third Party Software Agreement may be amended according to that company?s particular policies). Further, no waiver of any term, condition or default of any term of this Agreement shall be construed as a waiver of any other term, condition or default. In the event of a conflict between this Agreement and any Third Party Agreement with respect to the use of the Licensed Software and the obligations, duties or liability of Licensor, this Agreement shall control notwithstanding such conflicting language. 14.2 Severability. In the event that any provision of this Agreement is held by a court of competent jurisdiction to be unenforceable, the validity of the remaining provisions shall not be affected, and the rights and obligations of the parties shall be construed and enforced as if the Agreement did not contain the particular provisions held to be unenforceable and the unenforceable provisions shall be replaced by mutually acceptable provisions which, being valid, legal and enforceable, come closest to the intention of the parties underlying the invalid or unenforceable provision. 14.3 Governing Law and Venue. This Agreement and each and every portion of this Agreement shall be interpreted pursuant to the internal laws of the Country of Costa Rica, without giving effect to the principles of conflict of laws. Each of the parties hereby irrevocably and unconditionally agrees to the exclusive jurisdiction of any court located in Cost Rica for any actions, suits or proceedings arising out of or relating to this Agreement (and the parties each agree not to commence any action, suit or proceeding relating thereto except in such courts and not to plead or claim that any such court is an inconvenient or otherwise improper or inappropriate forum). 14.4 Injunctive Relief. Licensee acknowledges that the injury that would be suffered by Licensor as a result of a breach of the provisions of this Agreement by Licensee would be irreparable and that an award of monetary damages to Licensor for such a breach would be an inadequate remedy. Except as expressly stated herein, this Agreement does not grant you any intellectual property rights in the Licensed Software, and all rights not expressly granted are reserved by Licensor and its affiliates or suppliers. 7. LICENSOR, AND ITS AFFILIATES AND SUPPLIERS, MAKE NO WARRANTY THAT (i) THE LICENSED SOFTWARE WILL MEET YOUR REQUIREMENTS, (ii) THE LICENSED SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE LICENSED SOFTWARE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE LICENSED SOFTWARE WILL MEET YOUR EXPECTATIONS, OR (v) ANY ERRORS IN THE LICENSED SOFTWARE WILL BE CORRECTED. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE LICENSED SOFTWARE IS OBTAINED AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM LICENSOR OR THROUGH OR FROM THE LICENSED SOFTWARE SHALL CREATE ANY WARRANTY. LICENSOR IS NOT RESPONSIBLE FOR CONTENT HOSTED BY CONTENT PROVIDERS. 9.2 Limitation of Damages. LICENSOR, ITS AFFILIATES OR SUPPLIERS, OR THE COMPANIES THAT OWN OR CONTROL THE THIRD PARTY SOFTWARE WILL NOT HAVE ANY LIABILITY FOR, AND YOU HEREBY RELEASE LICENSOR, ITS AFFILIATES AND SUPPLIERS AND THE COMPANIES THAT OWN OR CONTROL THE THIRD PARTY SOFTWARE FROM ANY, LIABILITY (WHETHER IN CONTRACT, WARRANTY, TORT, NEGLIGENCE OR OTHERWISE) FOR ANY DAMAGES SUSTAINED BY YOU ARISING FROM THE USE OR INABILITY TO USE THE LICENSED SOFTWARE, INCLUDING, WITHOUT LIMITATION, ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR LOSS OF DATA, SAVINGS, OR PROFITS OR THE COST OF PROCURING SUBSTITUTE GOODS, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL LICENSOR?S ENTIRE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT EXCEED $100.00. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. 9.3 Indemnity. Licensee agrees to indemnify, defend, and hold Licensor and all of the directors, officers, shareholders, affiliates, employees, and agents of Licensor (collectively referred to as "Licensor?s Agents") harmless against and in respect to any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies, including interest, penalties, expert witness fees, and reasonable attorneys' fees that Licensor, Licensor?s Agents and the companies that own or control the Third Party Software shall incur or suffer, which arise, result from, or in any way relate to: (a) any breach of, or failure by Licensee to perform any of the representations, warranties, covenants or agreements in this Agreement; (b) Licensee?s violation of any applicable law or regulation, whether or not referenced herein; and (c) Licensee?s violation of any rights of any third party (including, without limitation, the right of the third parties who own the Third Party Software). 10. USE OF INFORMATION; PRIVACY POLICY. 10.1 Use of Information. By entering into this Agreement, Licensee agrees that Licensor may collect and retain information about Licensee, including Licensee?s name and email address. Licensor may employ other companies and individuals to perform these functions on its behalf. Examples may include fulfilling orders, delivering packages, sending postal mail and e-mail, removing repetitive information from customer lists, analyzing data, providing marketing assistance and processing credit card payments. These third parties may be given access to personal information needed to perform their functions, but may not use it for other purposes. In addition, Licensor will collect and use anonymous information relating to your use of the Licensed Software application for statistical and related purposes. Licensor may disclose the information to third parties for these purposes but will not use or disclose information about your use of the Licensed Software for any other purpose (unless required to do so by law). Licensor may keep track of your Internet history in order to customize the advertisements provided to you as part of the Licensed Software. 10.2 Privacy Policy. Without limiting the generality of Section 10.1, by installing the Licensed Software, you grant permission for Licensor to collect and use certain information. You acknowledge that you have reviewed the applicable Licensor Privacy Policy, which describes Licensor?s general practices with respect to the collection, use and disclosure of information in connection with your Use of the Licensed Software, which is incorporated herein by reference. Licensor reserves the right to change the provisions of its Privacy Policy from time to time. Your Use of the Licensed Software following the posting of such changes to Licensor?s Privacy Policy will constitute your acceptance of any such changes. Licensor does not make any and hereby disclaims to the maximum extent allowed by law any and all covenants, representations and warranties with respect to its compliance with the statements of intent contained in Licensor's privacy policy. 11. COMPATIBILITY. Licensor does not warrant that the Licensed Software will be compatible with your hardware or other software installed on your computer system. Compatibility issues may cause your computer's performance to suffer. In the event that the Licensed Software is not compatible with your hardware or other software installed on your computer system, the Licensed Software can be uninstalled as provided in Section 7, above. Like all software, the Licensed Software utilizes some of your computer's resources to run, including system memory and Internet connection. Use of the Licensed Software on a computer with inadequate system resources will cause such computer's performance to suffer. 12. USER REPRESENTATIONS AND WARRANTIES. You acknowledge, represent and warrant that: (a) you own the computer on which you are installing the Licensed Software, or have the authority to install the Licensed Software on such computer; (b) your installation and/or Use of the Licensed Software will not violate any local, state or federal laws that apply to you, or the Use or installation of the Licensed Software; (c) Licensor is not causing the Licensed Software to be installed on your computer, but has provided the Licensed Software to you, which you are installing of your own volition; and (d) you have read and fully understand the terms of this Agreement. 13. EXPORT. You agree that the Licensed Software may not be acquired, shipped, transported, exported, or re-exported (A) into (or to a national or resident of) any U.S. embargoed country or (B) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce's Table of Denial Orders. By using the Licensed Software, you represent and warrant that you are not located in, under control of, or a national or resident of any such country or on any such list. 14. MISCELLANEOUS. 14.1 Entire Agreement. This Agreement and any Third Party Software Agreement set forth the entire understanding of the parties with respect to the subject matter hereof. There are no representations, warranties, agreements, arrangements or understandings, oral or written, between the parties relating to this Agreement which are not fully expressed in this Agreement. No waiver, amendment or modification of any of the terms of this Agreement shall be effective unless in writing and signed by the party affected by the waiver, amendment or modification; provided, however, that that Licensor may unilaterally amend or modify this Agreement or a company that owns or controls Third Party Software may modify their Third Party Software Agreement at any time and you shall have notice of these changes by reference to the Version number of this document and the effective date for such version (or the Third Party Software Agreement may be amended according to that company?s particular policies).
